PREAMBLE

We the Dudes of 440 & Friends, in order to form a more perfect league, establish justice, ensure competitive spirit, promote general fairness, and secure the blessings of liberty to ourselves and our brothers, do ordain and establish this Constitution for the 440 & Friends Fantasy Football League.

ARTICLE 1: THE COMMISSIONER

1.  Michael Schilling, hereinafter referred to as "The Commissioner"  has accepted the responsibility and privilege of serving the league members of 440 & Friends and to oversee and administer League activities.

 

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Participants agree to abide by the rules and regulations established by the Commissioner for the orderly and fair conduct of the League.

 

This Agreement sets forth the terms and conditions governing the Participants' involvement in the League under the leadership of the Commissioner.

2. The functions of the Commissioner shall include:         

(a) To serve as the Chief Administrative, Dispute Resolution and Financial Officer of 440 & Friends.         

(b) To appoint such persons to assist in the execution of the duties of the Commissioner as may be necessary in the Commissioner’s exclusive discretion.

(c) To make decisions, or to appoint persons to make decisions, in respect of rule interpretations, administrative functions, financial transactions or disciplinary action, as may be necessary.

3. In the case of conduct deemed by the Commissioner not to be in the best interests of 440 & Friends, disciplinary actions against team managers may include any one or more of the following:

(a) A reprimand;

(b) A formal warning;

(c) A forfeit of a specified draft pick;

(d) Suspension or removal of a Manager from 440 & Friends;

(e) Cash Penalty determined by the commissioner and approved by a majority league vote; or such other actions as the Commissioner may deem appropriate.

4. The commissioner does not have autonomous rule over the league and may be removed from office through a unanimous vote by league members.

​

PROCEDURE TO REVIEW AND/OR VACATE COMMISSIONER'S DECISION

​

5. Any action of the Commissioner taken pursuant to this Article, regardless of whether or not it is specifically designated as “reviewable”, may be overturned under the following process:

(a) Team managers interested in the outcome of the Commissioner’s decision (i.e., the team that would receive the direct benefit of an overturned vote and any other team(s) directly involved in the challenged transaction and/or act) are deemed interested parties and are not eligible to participate in a vote to overturn that decision.

i. For further clarity, each team’s interest in the general competitiveness of each other team shall not constitute an “interest” in the outcome of a decision for the purposes of subsection (a).

(b) One-third of team managers eligible to cast a vote to overturn must agree to a petition for reconsideration or a vote upon the challenged decision. That petition must be made within one week of the formal posting of the challenged decision on the update section of the website. 

i. For further clarity, without such a petition being made, there shall be no review of a Commissioner’s decision. 

(c) If the Commissioner does not reconsider the decision, a vote shall be held.

(d) The Commissioner and all interested parties may make such representations to the team managers as they may wish in support of their preferred outcome.

(e) The decision of the Commissioner may be overturned only upon a two-thirds majority vote of eligible team managers.

(f) If such a majority is not achieved, the decision of the Commissioner stands.

(g) If such a majority is achieved, the decision of the Commissioner is vacated.

i. For further clarity, this shall not preclude further action by the Commissioner upon the same challenged act. 

 Article 2: League Members

1. There will be 10 league members for each season.

    

2. The Managers of each team are established as follows:         

(a) Anthony Cameron  – Po Pantasy

(b) James Coyne – LongLivePulledPork

(c) Michael Conn – GANGUS

(d) Garrett Girouard – Anderton’s Revenge

(e) Graham Spiller – IMSPENCERSTRASMORE

(f) Greg Cameron – Deer Hunter

(g) Mark Hayden – Brian The Maintenance Guy

(h) Mark Scarpitti – Galaxy

(i) Mike Schilling – Schill the Thrill

(j) Scott Reagan – Reagan’s Raiders   

 

3. All interested members from the previous season have the right to retain their team as long as they have not been suspended or removed by the Commissioner.     

 

4. Suspensions and or Removals will be instituted by the Commissioner based on a majority league vote. The league vote excludes the Manager in question.     

 

5. Each offseason, team managers may be required to cast votes in respect of such matters as would include, but not be limited to:

(a) The election of a Commissioner;         

(b) The amount of the annual league dues;

(c) Revisions to bonus categories as defined in Article 5, Section 1.       

(d) The amendment of this Constitution in respect of matters that shall include, but not be limited to:             

i. The creation of expansion teams;           

ii. Revisions to the League Settings, as defined in Article 3; and

iii. Revisions to the regulations pertaining to a draft, as defined in Article 6;

All of which shall require a simple majority vote by means of a poll on the website or in person so long as all team managers are represented; with the exception of subsection (d), which shall require a two-thirds majority vote. All votes will remain open for three (3) days after the creation of the poll. Upon expiration of the voting window, all votes will be counted and a ruling will be made by the Commissioner pursuant to the authority granted him in Article 1, Section 2, Subsection C.

 

REGULAR SEASON VOTING

6. During the Regular Season, team managers may be required to cast votes in respect of such matters as would include, but not be limited to:

(a) Referenda or opinion polls as required by the Commissioner for his own guidance; and

(b) Reviews of the Commissioner’s decisions within the regular season

​

NO CONTENTIOUS CONSTITUTIONAL AMENDMENTS DURING REGULAR SEASON

7. This Constitution may not be amended during the Regular Season except by unanimous vote of the team managers by means of a poll on the website or in person. All votes will remain open for three (3) days after the creation of the poll. Upon expiration of the voting window, all votes will be counted and a ruling will be made by the Commissioner pursuant to the authority granted him in Article 1, Section 2, Subsection c.

MINIMUM VOTING REQUIREMENTS

​

8. There is no minimum quorum or representation requirement for a regular season, offseason or Constitutional Amendment vote.

​

WITHDRAWAL OF MANAGERS / TEAMS

​

9. Managers may withdraw from 440 & Friends at any time between the commencement of the offseason and August 15 within that offseason without penalty.  Replacement owners may be found and appointed by league majority vote.  

 Article 3: League SETTINGS

1. 440 & Friends shall be a weekly head-to-head league hosted by Yahoo!

 

2. Season scheduling of the league, shall be set by Yahoo’s internal systems.

 

3. Each team will have 15 available positions on their active roster. Roster positions are defined as follows:

(a) Quarterback (1)

(b) Wide Receiver (2)

(c) Running Back (2) 

(d) Tight End (1)

(e) Flex - WR/RB/TE (1)

(f) Kicker (1)

(g) Defense/Special Teams (1)

(h) Bench (6)

(i) Injured Reserve (2)

4. The scoring categories and associated points shall be as follows:

BONUS POINTS
  • Passing Yards: 2 points at 300 yards; 2 points at 400 yards

  • Rushing & Receiving Yards: 2 points at 100 yards; 2 points at 200 yards

Transactions

WINS & TIEBREAKERS

​

5. Weekly Head-to-Head matchups are won by the team with the higher point total for that given week.

​

6. Matchups that end in a tie are recorded as a tie except for playoff and Championship games as described in Article 8, section 4.

 

FREE AGENT ACQUISITION

​

7. Free Agent players are acquired via weekly Free Agent Waiver Wire.  Waiver wire order is determined by a Continual rolling list: waiver claims are processed in waiver priority order and each successful claim moves a manager to the end of the waiver priority list.

​

8. There is no season acquisition limit. Each team manager is entitled to make an unlimited number of trades and/or add/drops each season.

​​

9. Each free agent will remain on the Waiver Wire for two days to allow all teams the opportunity to make a claim. 

​

11. Each add/drop before, during or after the regular season will be charged with a 50¢ tax per move. This excludes trades.

​

TRADES

​

12. Any team manager may engage in any number of transactions with any number of other team managers at any time, provided that the transactions would not be contrary to the best interests of fantasy football. Each trade, once submitted, shall be subject to a two day review period during which owners may vote to allow the trade or reject trade. Accepted trades will be vetoed when at least 1/3 of the league's members (rounded up) vote to overturn it.

FORBIDDEN TRADES

​

13. Draft picks and “players to be named later” are non-transferable and may not form any part of the value in a transaction.

​​

TRADE DEADLINE

​

14. The deadline for making trades is set to Wednesday, at 11:59pm, during the 10th week of the season.

 Article 4: League DUES

1. Dues for participation in the 440 & Friends Fantasy Football League are hereby established. The annual league entry fee is $170 US Dollars for the 2024 season. Dues shall be collected via PayPal prior to the start of the season. Increases to league dues will be voted on at the beginning of each season. Any increases will be applied to the playoff pool and survivor/bonus pools on an alternating schedule. The allocation of collective dues for 2024 is as follows:

  • Playoff pool: $1,000

  • Squid Game: $100

  • Weekly Bonus pool: $375

  • Weekly High score: $225

​

2. Failure to submit league dues will result in suspension or removal from the league. 

 Article 5: BONUS CATEGORIES

1. Bonus payouts will fall under four categories:

  • Weekly Bonus

  • Squid Game

  • The Week 18 Daily Fantasy Challenge

  • Weekly High Score

Bonus categories and subcategories can adjust in format and/or payout from year to year with league majority vote approval. All changes must be agreed upon before the start of the regular season. All bonus cash will be paid out at the end of each season.

​

(a) WEEKLY BONUS - $25 bonus prizes will be awarded for the following weekly categories:

  • Week 1 - Bench Warmer - Single highest scoring non-starter

  • Week 2 - Match-up Blues - Highest score in a loss

  • Week 3 - Beast Mode - Most points by one active running back

  • Week 4 - Lucky Duck - Lowest score in a win

  • Week 5 - The Sheriff - Most points by one active quarterback

  • Week 6 - Photo Finish - Narrowest margin of victory

  • Week 7 - The Flex - Most points by a WR/RB/TE in the flex position on your roster

  • Week 8 - Nice Hands - Most points by one active wide receiver

  • Week 9 - Blowout - Largest margin of victory

  • Week 10 - Price is Right - Closest to Yahoo! projection without going over

  • Week 11 - Hammer Toe - Longest field goal made by an active kicker

  • Week 12 - One-Two Punch - Highest combined total of your RB1 and RB2 positions

  • Week 13 - Pick Six - Most points by active defense

  • Week 14 - Tighty Whities - Most points by an active tight end

  • Week 15 - Points Against - Team with the highest season total points against

(b) SQUID GAME - For each week (weeks 1-9), the team with the lowest weekly total score will be eliminated from the Squid Game competition. The last team manager standing at the end of week 9 will receive a $100 bonus added to their bank. 

 

(c) WEEK 18 DRAFT KINGS CHALLENGE - Throughout the season, add/drops will cost 50¢ a piece. After the post-season has come to a close, team managers' transactions will be tallied and dues will be collected via Venmo for a one-week winner take all daily fantasy challenge hosted by DraftKings.

​

(d) WEEKLY HIGH SCORE - $15 Bonus prize will be awarded each week to the team with the highest fantasy score.

 Article 6: The DRAFT

​1. The draft date and time will be posted on the 440 & Friends website and will also be communicated to each team manager via email. The time and location of the draft will be determined by league consensus considering cost and travel restrictions. 

​

RULES

​

2. The draft will be an offline, in-person snake draft.

​

3. Draft attendance is strongly encouraged, yet optional. Participation, however, is mandatory. If a team manager can not attend or participate, it is their responsibility to secure a proxy. A lack of participation for two or more consecutive seasons will result in disciplinary action.

​

DRAFT LOTTERY

​

4. The time and manner of the draft lottery will be determined by the winner of the consolation bracket (5th place) from the previous season. The Lottery shall consist of all ten (10) team managers taking part in a newly decided competition each year. The competition shall be random in nature, and should not benefit the skill set of one particular team manager. The draft order will be determined by the finishing place of each team manager in said competition. The draft positions will be selected in the finishing order of the competition. They will not be assigned.

 Article 7: ROSTER MANAGMENT

1. Managers must field a complete team at all times.  

 

2. Managers may not permit players on Injured Reserve to be in their active lineup for more than one (1) week from the time of his designation to the Injured Reserve.  

 

3. Failure to abide by the responsibilities laid out in Section 7 will subject the team manager to disciplinary action at the Commissioner’s discretion pursuant to Article 1, Section 2 and will be reviewable pursuant to Article 1, Section 5.

​

4. If a team manager is inactive for a period of more than two weeks, that neglect will constitute an offense under Article 9, section 4.

 Article 8: THE PLAYOFFS

Payout

1. The playoffs shall begin on Week 16 of the NFL regular season. There are two (2) rounds of playoffs. Each playoff round shall be one (1) week long.

​

2. The four (4) teams with the highest win percentage upon the last date before the commencement of the playoffs shall qualify for the playoffs.

​

3. In the event that any teams should be tied in respect of win percentage, the tiebreaker shall be the Total Points For (PF) during the regular season.

 

4. Matchups that end in a tie are recorded as a tie with the exception of playoff and Championship matches. Tiebreakers for playoffs are determined by, 'Best regular-season record vs. opponent wins.'

The win will be awarded to the team with the best overall matchup winning percentage against opponent during the regular season.

​

5. Payouts are to be made by the Commissioner no more than one week after the conclusion of the Week 18 Daily Fantasy Challenge.

 

Payouts shall be made as follows:

​

  • 1st place - $500

  • 2nd place - $300

  • 3rd place - $200

​

TROPHY

​

6. The winner of the 440 & Friends Fantasy Football League will be presented with the league trophy at the draft before the start of the season. The winner of the previous season is responsible for safely transporting and/or delivering the trophy to the draft. The team manager who finishes in 9th place will be responsible for paying for the champion's plaque that will be applied to the trophy.

THE PLATE

​

7. The team manager who finishes in last place in the regular season will be awarded "The Plate". This is a license plate frame stating "I Finished Last In My Fantasy Football League". Once received, the license plate frame must be applied to the REAR license plate on the BACK of the manager's primary vehicle and must remain in place for the duration of the offseason. The Plate can not be removed until the draft the following season. This team manager may be subject to random routine check-ins via video call or text by any member of the league to verify compliance. If it is determined that The Plate was removed before the agreed-upon timeline, he may be subject to disciplinary action as defined in Article 1, section 3. Once the recipient of The Plate has fulfilled his duties and the plate is removed, the loser must retain said license plate frame in his possession and safely deliver it to the recipient from the next season.

 Article : Offenses

NATURE OF OFFENSES

​

1. This Article deals with activities that are deemed to go beyond the scope of irregularities or minor contraventions of the Constitution and constitute wrongful conduct worthy of more severe sanction. 

​

COMMENCEMENT OF OFFENSE PROCEEDINGS

​

2. The Commissioner, on his own initiative or following the receipt of a complaint, whether anonymous or public, may, after satisfying himself that the complaint has merit, announce that a Club or its Manager has committed an offense, and the penalty for that offense. 

 

3. The Commissioner is authorized to investigate alleged offenses if he deems it necessary to do so, and Managers are required to assist in such investigations by providing truthful statements to the Commissioner if requested to do so.

​

OFFENSES

​

4. The following shall be classified as an offense:

​

  • Bribery: Provides another party with value other than in-game value in exchange for in-game value.

  • Collusion: Agrees with another party to limit open competition in the game by deceiving, misleading or defrauding others in order for a party, who may or may not be a party to the collusion, to obtain an unfair market advantage. Collusion shall be assumed in any case where one Manager acts for more than one team at the same time.

  • Disrespect: Makes insulting, aggressive, discomforting or derogatory comments to another party that a reasonable person would consider in excess of friendly ‘trash talk’.

  • Harassment: Repeatedly contacts another party, or contacts another party through a specific means of communication, despite that party’s request that they not do so.

  • Non-Competitive Behavior: Demonstrates an intention not to compete that goes beyond mere negligence. Under extreme circumstances, a recurring refusal to engage in reasonable transactions may be considered non-competitive behavior.

  • Nuisance: Repeatedly complains about the operation of 440 & Friends to the extent that it amounts to harassment of the Commissioner or markedly decreases the enjoyment of others.

  • General Anti-Avoidance Provision (GAAP): Engages in conduct not otherwise prohibited by this Constitution but is generally acknowledged to be shitty.

PENALTIES

​

5. Any Manager found guilty by league majority of an offense is susceptible to the most extreme penalties provided for in Article 1, Section 3, including permanent suspension without refund.

​

6. Decisions concerning an offense and its penalty are reviewable pursuant to Article 1 Section 5.

​
